1. Acceptance of Terms

By accessing or using Hytch Ride's platform and services, you agree to be bound by these Terms of Service ("Terms"). If you are using the Services on behalf of an organization, you are agreeing to these Terms for that organization and representing that you have authority to bind that organization to these Terms.

Your use of the Services constitutes your agreement to these Terms. If you do not agree to these Terms, you may not access or use the Services.

2. Services Description

Hytch Ride provides an enterprise scheduled transportation platform that enables organizations to:

• Schedule and manage transportation for team members, clients, or patients
• Coordinate rides for legal proceedings, healthcare appointments, and business meetings
• Access compliance reporting and audit trails
• Manage team access and permissions

The specific features and functionality available depend on your subscription tier and organization configuration.

3. Account Terms

3.1 Account Registration

To use our Services, you must create an account with accurate and complete information. You are responsible for maintaining the security of your account credentials and for all activities that occur under your account.

3.2 Account Requirements

• You must be at least 18 years old
• You must provide valid business contact information
• One person or legal entity may not maintain multiple free accounts
• You are responsible for maintaining the security of your login credentials

3.3 Account Suspension

We reserve the right to suspend or terminate accounts that violate these Terms or applicable laws.

4. Acceptable Use

You agree not to use the Services to:

• Schedule rides for any illegal purpose or in violation of any laws
• Transport hazardous materials, contraband, or illegal items
• Impersonate any person or entity
• Attempt to gain unauthorized access to our systems or other users' accounts
• Interfere with or disrupt the integrity or performance of the Services
• Use the Services for any purpose that could damage, disable, or impair our infrastructure
• Resell or redistribute the Services without authorization
• Transmit any viruses, malware, or other malicious code

5. Payment Terms

5.1 Subscription Fees

Subscription fees are billed in advance on a monthly or annual basis depending on your chosen plan. All fees are non-refundable except as required by law.

5.2 Usage-Based Fees

Certain features may incur additional usage-based fees. These fees will be clearly communicated and billed at the end of each billing period.

5.3 Failed Payments

If a payment fails, we will notify you and attempt to process the payment again. If the issue is not resolved within a reasonable timeframe, we reserve the right to suspend your account.

5.4 Price Changes

We may change our pricing with 30 days' advance notice. Price changes will apply to the next billing cycle after the notice period.

6. Cancellation Policy

6.1 Cancellations by User

You may cancel scheduled rides according to the following policy:

• More than 24 hours before pickup: Full refund of any advance payment
• 12-24 hours before pickup: 50% refund
• Less than 12 hours before pickup: No refund

6.2 Account Cancellation

You may cancel your account at any time by contacting support. Cancellation will take effect at the end of your current billing period. You will not receive a refund for the remaining billing period.

6.3 Cancellation by Hytch Ride

We may cancel your account if you materially breach these Terms and fail to cure the breach within 30 days of receiving notice.

7. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW:

• THE SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND
• WE DO NOT GUARANTEE UNINTERRUPTED OR ERROR-FREE SERVICE
• WE ARE NOT LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES
• OUR TOTAL LIABILITY FOR ANY CLAIMS ARISING FROM THESE TERMS OR THE SERVICES SHALL NOT EXCEED THE AMOUNTS PAID BY YOU IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM

This limitation applies regardless of the form of action, whether in contract, tort, strict liability, or otherwise.

8. Indemnification

You agree to indemnify, defend, and hold harmless Hytch Ride, its officers, directors, employees, and agents from any claims, damages, losses, and expenses (including attorneys' fees) arising from:

• Your use of the Services
• Your violation of these Terms
• Your violation of any third-party rights
• Any ride scheduled through your account

9. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the State of New York, without regard to its conflict of law provisions. Any disputes arising from these Terms or your use of the Services shall be resolved in the state or federal courts located in New York County, New York.

10. Changes to Terms

We may modify these Terms at any time. We will provide notice of material changes via:

• Email notification to the registered account address
• Notice posted within the platform
• Update to the "Last updated" date at the top of this document

Your continued use of the Services after such modifications constitutes your acceptance of the updated Terms.
